By using this Site, registering for a Storyagent account (“Account”) or using any other services, products, data, content or other material available through the Site (the "Services"), you (“you, your, or yourself”) agree to accepting and complying with the terms and conditions of use stated below (“Terms of Use”). As used in this Terms of Use, “Storyagent” refers to the company Storyagent Ltd (incorporated in United Kingdom with company number 12470836 and with its registered office at Suite No 2, First Floor, Kenwood House, 77a Shenley Road, Borehamwood, United Kingdom, WD6 1AG).
The Services allow registered users of the Services to:
- submit stories on the website and put them on sale;
- read different stories;
- secure an option or buy rights to a story.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access the Service.
Accounts
By opening an Account, you expressly represent and warrant:
- that you are above the age of 18; and
- that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.
You are responsible for maintaining the confidentiality of your information, username, and password. You shall be responsible for all uses of your registration, whether or not authorized by you. You agree to immediately notify Storyagent of any unauthorized use of your registration information, username, or password.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.
If you choose to create an Account, you will need to complete verifications. For this purpose, you agree to provide us with the information we request. The requested information may include Personal Data (please read our Privacy Policy). Your Account will not be confirmed until we will be satisfied with the information you have provided and determine in our sole discretion that it is sufficient to validate your Account. In the meantime, you will not be allowed to terminate your Account or request the deletion of the Personal Data processed in the course of verification operations.
Termination
We shall have the right to immediately terminate Your Account in the event of any conduct by you which Storyagent, in its sole discretion, considers to be unacceptable, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or you can contact Storyagent at [email protected] to delete it.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Trademarks
Storyagent, subsidiaries and affiliates, unless otherwise specified, owns all materials on this Site, and all the materials on this Site are protected by copyright, trademark and other applicable laws. You may view, print and/or download a copy of the materials from this Site on any single computer solely for your personal, informational and/or non-commercial use, provided you comply with all copyright and other proprietary notices. Unauthorized use of the Content may violate copyright, trademark, and other laws.

All other product and service marks contained on the Site are the trademarks of their respective owners. You must retain all copyright, trademark, service mark, and other proprietary notices contained in the Content on any copy you make of the Content. You may not reproduce, copy, modify, adapt, republish, upload, post, transmit, scrape, collect, merge, make derivative works of, display, sell, or distribute the Content, or use it in in any form or by any means, whether manual or automated. The use of any such materials on any other Site or networked computer environment for any other purpose is strictly prohibited; any such unauthorised use may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.
Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. The parties hereto agree to irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
Release and limitations of liability
You understand and agree that in no event shall Storyagent LTD, subsidiaries, its other affiliates nor any of their respective employees, agents, third party content providers or licensors warrant that the site will be uninterrupted or error free; nor be liable for any claims, demands, and damages (actual, indirect, incidental, special, exemplary, and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with this Agreement or any agency relationship.
In no event shall the Services and Site be liable for any damages whatsoever, including, without limitation, any damages resulting from loss of use, data, profits, income, employment opportunities, or business interruption, or damages for personal or bodily injury or emotional distress arising out of or in connection with this Agreement, or from any communications, interactions, or meetings with other users of Storyagent, on any theory of liability, resulting from: (a) the use or access to or inability to use or access Storyagent; (b) unauthorized access to or alteration of your transmissions or data; or (c) any other matter related to Storyagent, whether based on warranty, copyright, contract, tort (including negligence), product liability, or any other legal theory.
Certain jurisdictions do not allow the exclusion of limitation of certain damages. If this exclusion or limitation of liability is held inapplicable or unenforceable for any reason, then the Services and Site maximum liability for any type of damages shall not exceed the amount paid by you for the Services provided hereunder.
We do not represent that this Site or the Services, or the services of any third-party custodian, will be available 100% of the time to meet your needs. We will strive to provide you with the Services as soon as possible, but there are no guarantees that access will not be interrupted, or that there will be no delays, failures, errors, omissions or loss of transmitted information.
We will use reasonable endeavours to ensure that the Site and the Services can be accessed by you in accordance with these Terms of Use. However, we may suspend use of the Site and the Services for maintenance and will make reasonable efforts to give you notice of this. Storyagent does not warrant that its Site or Services will operate error-free, or that the Site or its servers are free of computer viruses or other harmful mechanisms. If your use of the Site or the Content results in the need for servicing or replacing equipment or data, Storyagent is not responsible for those costs.
You assume full responsibility and risk for use of this Site and the internet in general. The Site and Content are provided on an "as is" basis without any warranties of any kind. Storyagent, to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including the warranty of merchantability, fitness for a particular purpose, and non- infringement. Storyagent makes no warranties about the accuracy, reliability, completeness, or timeliness of the Content, Services, software, text, graphics, and links.
Miscellaneous
Neither Storyagent nor you shall be liable for damages or for delays or failures in performance resulting from acts or occurrences beyond their reasonable control, including but not limited to an event of Force Majeure, change of law or change in sanctions policy we shall not be liable for the Services provided under this agreement during the time period coincident with the event.
External websites
Storyagent has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party web sites or services you may access through the Site. We do not warrant the offerings of any of these entities/individuals or their websites.
You acknowledge and agree that Storyagent shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party web sites or services.You shall bear all risks associated with the use of such content.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit. Storyagent is not responsible for any damages incurred by the result of sending email messages which are unencrypted. We suggest sending email in encrypted formats.
